Terms and Conditions

1. Agreement

These Terms and Conditions govern access to and use of Magnus, an AI and SaaS product operated by Igni Ecommerce Private Limited, a company based in India. By accessing the website, applying for access, or using the service, you agree to these terms.

2. The service

Magnus provides AI-enabled software, communication workflows, agent tooling, automations, integrations, analytics, and related services. Features may change, be added, or be removed over time. Access may be subject to approval, onboarding, commercial terms, and technical limitations.

3. Accounts and access

You are responsible for account activity, user permissions, credentials, API keys, integrations, customer data, and use of the service by your team or users. You must provide accurate information and promptly update it when necessary.

4. Acceptable use

You must not use Magnus to:

• Break applicable law or infringe third-party rights.
• Send unlawful, deceptive, harmful, abusive, or unsolicited communications.
• Upload malware, attempt unauthorized access, disrupt systems, or bypass limits.
• Process personal data without required rights, notices, permissions, or consents.
• Use AI outputs as a substitute for professional advice in high-impact matters.

5. AI outputs and responsibility

Magnus uses AI systems. AI can make mistakes, hallucinate facts, misunderstand context, or produce incomplete, biased, offensive, or unsuitable outputs. You are responsible for reviewing, testing, and approving outputs before using them with customers or in business decisions. Magnus does not guarantee that AI outputs are accurate, lawful, complete, or fit for your specific purpose.

6. Customer data

You retain responsibility for the data you submit to Magnus, including customer data, prompts, instructions, files, workflows, and integrations. You represent that you have the rights, consents, and authority needed to provide that data and to allow Magnus to process it for the service.

7. Fees and paid plans

Paid access, if offered, may be governed by an order form, invoice, subscription plan, or separate written agreement. Fees are exclusive of taxes unless stated otherwise. Non-payment may result in suspension or termination of access.

8. Intellectual property

Igni Ecommerce Private Limited and its licensors own Magnus, including software, designs, models, documentation, marks, and service-related intellectual property. Subject to these terms, you receive a limited, non-exclusive, non-transferable right to use the service for your internal business purposes.

9. Confidentiality

Each party may receive confidential information from the other. The receiving party must use reasonable care to protect confidential information and use it only for purposes related to the service, unless disclosure is required by law.

10. Disclaimers

The service is provided on an “as is” and “as available” basis to the fullest extent permitted by law. We disclaim warranties of uninterrupted availability, error-free operation, fitness for a particular purpose, and non-infringement. You are responsible for backups, review processes, and human oversight.

11. Limitation of liability

To the fullest extent permitted by law, Igni Ecommerce Private Limited will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities. Any aggregate liability will be limited to the amount paid by you for the service in the three months before the event giving rise to the claim, or INR 10,000 if no fees were paid.

12. Suspension and termination

We may suspend or terminate access if you breach these terms, create security or legal risk, misuse the service, fail to pay fees, or if continued service is no longer commercially or technically feasible.

13. Governing law

These terms are governed by the laws of India. Subject to any mandatory applicable law, courts in India will have jurisdiction over disputes arising from or related to these terms or the service.

14. Changes

We may update these terms from time to time. Continued use of Magnus after an update means you accept the revised terms.
